We recommend that you take note of all the information from Solium before you start adding your equity to Secfi.
If this is your first time accessing your Solium account, we recommend referring to Solium's help article to familiarize yourself with the interface.
Company details
Once you log into your Solium account, you will see your Solium dashboard which shows your total portfolio value and a view of your vested and unvested stocks.
1. Company name: This is the name of the company that has issued the equity grants.
2. Most recent FMV: This value is the latest 409A/FMV(Fair Market Value) of your company.
Grant details
To view all your grants, click on the Portfolio option in the top navigation bar. Here you will see two tabs - “Stock Options and Awards” and “Securities”. A list of your grants can be found under the “Stock Options and Awards” tab.
1. Type of grant: If you have an ISO, NSO or RSU grant, you will be able to view the type of grant here. In the above example, the user was issued an ISO grant.
2. Grant name: You can choose to use either the actual grant name you see here or a nickname when adding the grant to your Secfi account. The purpose of the grant name in your Secfi account is to help you easily identify the grant while using the tools, calculators, planner, or when requesting financing.
3. Strike price: When dealing with ISOs, NSOs, and shares, you will be able to view the strike price, also known as the exercise price. This is the price per share that you will pay to exercise an option or purchase a share. In the above example, the user's strike price is $28.01 per share. Keep in mind that RSUs do not have a strike price.
4. Number of stocks issued: This is the total number of stocks that have been granted. You should use this quantity when adding a grant to Secfi, even if you have exercised some or all of the options in this grant. In the example above, 5,000 options were granted to this user.
Vesting details
To locate your vesting information, click on the Documents option in the top navigation bar. Here you will see a section “Plan documents and agreements” with a sub-section “Grant Agreements” (1).
For every grant that has been issued, you should be able to locate a grant agreement by looking for the grant name (2).
When you open the document, you will find important information about your vesting, including details about the vesting scheme, vesting start date, and cliff. If the grant document mentions that "This option may be exercised at any time after the Date of Grant for all or any part of the Shares subject to this option," it means that you have the option to exercise your options before the scheduled vesting period.
Exercise details
Exercise details only apply if you have option grants, such as ISOs or NSOs. If you have been issued RSUs or Shares, this section does not apply to you.
To find your exercise information, click on the "Activity" option in the top navigation bar. This will bring up a list of all your past activities, including option exercises and transactions that are currently in progress. Look for the specific exercise event you're interested in to access all the details about your exercise.
Here is an example of what you should expect to see for an exercise
1. FMV on the date of exercise: This value is used to calculate taxes when selling exercised shares. In this scenario, the FMV when the options were exercised was $45.13.
2. Number of options exercised: This is the number of options that were exercised, which is 100 in this case.
3. Date of exercise: This is the date when you exercised your options and is used to calculate whether you owe long-term or short-term capital gains tax (if any). In this case, it is Sep 11th, 2019.
Once you have gathered all the important information about your equity holdings as stated above, you can effortlessly add it to your Secfi account and get access to all the insights from our tools and planners or request financing or advice ❤️
